TERMS OF USE

Preamble

A subscriber and member of our services (a.k.a. “user”) you are entitled to certain services and access to our database and listing data services. As a IVRAS Inc and MHagent services user, you have entered into an agreement under which IVRAS Inc database platform, a listing and selling data and imaging service may contain your personal customer contact information (“Personal Information”), information derived from our MHagent Services such as market statistics, listing history, property archive reports, logos, images, and other data obtained from public records, or tax-related information. Your membership grants you access to MHagent services Information, and access to various stored data subject to the terms described herein.

Acceptance of Terms

Please read the terms of use agreement and our privacy policy referred to as “our agreement”, before logging onto our comparable sales database and listing platform. Our agreement explains IVRAS Inc obligations to you, your obligations to IVRAS Inc, the terms of use of MHagent services, and will constitute a binding contract between you the user and IVRAS Inc. By simply logging onto or gaining access to MHagent services, you agree to be bound by this agreement. You agree that without written permission you will not reproduce, publish, license, frame or attach to other websites or applications, engage in screen or database scraping, of material provided or obtained from this platform. If you don’t want to be bound by the terms in this agreement, you should not access by any means, log-in, or subscribe to any services. This agreement applies to the MHagent services, and all modifications, upgrades, or improvements made by IVRAS Inc to our platform.

Access To MHagent

MHagent Services platform access is permitted through a valid log-in entity (as supplied by IVRAS Inc and MHagent services). IVRAS Inc will collect, through your log-in entity, information such as name, email address, and log-in ID.

Authorization

Subject to the terms and conditions of this Agreement and your participation, IVRAS grants to you, and you accept, a nonexclusive, non-transferable, revocable authorization to access the Mhagent services and any documentation only as authorized in this Agreement for purposes of viewing, listing, and selling real estate homes.
This authorization does not include any right to source code developed or used by IVRAS and MHagent services.

Use to Export Third Party Data

The MHagent services may give you the ability to export, copy, compile, print or report, and use of this information, and must be used as permitted by IVRAS Inc and MHagent services. IVRAS Inc does not grant you any right to re-commercialize data, in whole or in part, by selling, licensing, renting, distributing, or otherwise transferring to any other party for any purpose whatsoever, except for your own personal use.

Termination

If you fail to comply with the terms of this Agreement, lack access rights, or are no longer a member in good standing your access will be terminated.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL IVRAS INC BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA. ANY CLAIM AGAINST IVRAS INC SHALL BE LIMITED TO THE AMOUNT PAID ON YOUR BEHALF TO IVRAS INC, IF ANY, DURING THE THREE MONTHS PRECEDING THE DATE ON WHICH THE CLAIM AROSE FOR USE OF IVRAS INC AND MHAGENT SERVICES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF MHAGENT SERVICES OR WITH ANY OF OUR TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING IVRAS INC AND MHAGENT SERVICES.

Indemnification

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS IVRAS INC, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, SUBSIDIARIES, AFFILIATES AND AGENTS FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGE AND COSTS, INCLUDING REASONABLE ATTORNEY'S FEES, MADE BY ANY THIRD-PARTY DUE TO OR ARISING OUT OF ANY CONTENT, OR RESULTING FROM ANY VIOLATION OF THIS AGREEMENT OR YOUR NEGLIGENT, IMPROPER, OR ILLEGAL USE OF IVRAS INC AND MHAGENT SERVICES.

Agreement to Arbitrate

These Terms of Use are governed by the laws of the State of California. YOU HEREBY AGREE THAT ANY AND ALL DISPUTES OR CLAIMS THAT MAY ARISE BETWEEN IVRAS INC AND YOU SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY.

Any cause of action you may have with respect to this Agreement must be commenced within one year after the claim or cause of action arises or such claim or cause of action is barred. IVRAS Inc and you waive any rights they may have to trial by jury regarding claims and disputes related to this agreement.

Managing and Cancelling Subscriptions

Log in and navigate to Dashboard.
To avoid further charges, cancel your Subscription at least 24 hours before the auto-renewal period. You will continue to receive benefits from your subscription until the end of the billing cycle. Canceling does not result in a refund. All monthly and yearly subscriptions offered will automatically renew until canceled. One-Single Use, will only be billed once, and if there is no activity on subscription, notifications will be sent and may be terminated for lack of response or communication with IVRAS.
You can resubscribe to previously canceled or expired subscriptions. However, if you have canceled your subscription but it is still active (i.e., before the expiration date), you will not be able to reactivate your subscription. You will need to wait for the subscription to fully expire.
All subscriptions currently offered are not tiered, if you choose to change your subscription from monthly to yearly your account will go into effect after your monthly billing cycle ends. If your plan is canceled, it will still be available until the end of your billing period. If you change your mind, you can renew your subscription.
